Plan and Disclosure Statement:

On June 23, 2026, the Debtors filed their Amended Joint Plan of Reorganization and the Disclosure Statement related thereto. General Information:

On May 17, 2026, West Marine entered into a Restructuring Support Agreement with the support of its key financial stakeholders, including 96.2% of its term loan lenders, 100% of its FILO lenders, and 93.9% of its equity holders, to pursue a comprehensive restructuring transaction that will allow the Company to deliver its capital structure while maximizing value and ensuring continued service to the boating community. Pursuant to the RSA, on May 17, 2026, West Marine and certain of its subsidiaries have initiated a pre-arranged court-supervised process under Chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the District of Delaware (the “Bankruptcy Court”). Under the RSA, West Marine will seek confirmation of their Plan by the Bankruptcy Court on an expedited timeline, unless a more value-maximizing sale transaction materializes with a third party or third parties.

West Marine expects to use the Chapter 11 process to strengthen the Company's financial position, meaningfully deleverage its balance sheet and facilitate the business’s long-term success.

West Marine is continuing to operate its stores and online platform without interruption. Throughout this process, West Marine will continue providing its customers and partners with products and services and the highest levels of support.

West Marine has sufficient liquidity to support its operations during the Bankruptcy Court-supervised process and beyond and intends to pay vendors and suppliers in full for all goods and services provided after the filing date.
